1. Who we are and what these Terms cover
1.1 These Website Terms of Use (these Terms) are provided by Eveneer Solutions LLC, a Wyoming limited liability company with its registered office at 30 N Gould St, STE R, Sheridan, WY 82801, USA (Eveneer, “we”, “us”, “our”). Locally 360 is the name under which Eveneer provides the Service. Where the Website refers to “Locally 360”, it means Eveneer.
1.2 These Terms apply to your use of the Website. “You” means any person who visits or uses the Website.
1.3 This is version 1.0.0 of these Terms. It takes effect on the date it is first published at https://locally360.studio/legal/website-terms.
2. How these Terms relate to the Product Agreements
2.1 These Terms do not cover the Service. The Service is governed only by the Product Agreements.
2.2 Using the Website does not make you a Client and does not create any agreement for the Service. You become a Client only by accepting the Subscription Agreement in the App.
2.3 If you are a Client, a Product Agreement you have accepted prevails over these Terms for anything it covers, including its clause on how disputes are resolved, for any dispute it covers. Nothing in these Terms changes a Product Agreement.
2.4 The current versions of the Product Agreements are published on the Website at https://locally360.studio/legal/terms (the Subscription Agreement) and https://locally360.studio/legal/build-terms (the Build Agreement). The version that binds a Client is the version it accepted.
3. Definitions
3.1 In these Terms:
App means the Locally 360 control panel and its public pages at https://locally360.app, including its sign-up and sign-in pages, its design catalog and its live demos.
Build Agreement means the Locally 360 Build Agreement.
Callback Form has the meaning given in clause 9.2.
Business Day means a day other than a Saturday, a Sunday or a United States federal public holiday.
Client means a business that has accepted the Subscription Agreement.
Content means everything on the Website, including its text, Guides, Screenshots, images, design, layout and code, and the Locally 360 name and logo.
Guides has the meaning given in clause 7.1.
Product Agreements means the Subscription Agreement and the Build Agreement.
Sales Agent means an independent sales agent engaged by Eveneer. A Sales Agent is not Eveneer’s employee.
Screenshots has the meaning given in clause 8.1.
Service means the services Eveneer provides under the Product Agreements.
Subscription Agreement means the Locally 360 Subscription Agreement.
Theme means a design for a website that Eveneer builds and maintains for the Service.
Website means the website at https://locally360.studio and https://www.locally360.studio, including all of its pages. It does not include the App or any website Eveneer hosts for a Client.
3.2 Every time and date in these Terms is in Pacific Time, the local time in Los Angeles, California, including daylight saving time.
4. Using the Website means accepting these Terms
4.1 By using the Website you accept these Terms.
4.2 A link to these Terms is at the foot of every page of the Website.
4.3 If you do not accept these Terms, do not use the Website.
4.4 Clauses 17 to 21 limit your rights. They give no warranty, limit what Eveneer owes you to 100 US dollars, make you responsible for misuse, send disputes to the Wyoming courts and set a one year time limit for claims.
5. Who may use the Website
5.1 The Website is for businesses and for people aged 18 or over. It is not meant for anyone under 18.
6. What the Website tells you, and what it does not promise
6.1 Content about the Service, including prices, features, tools, estimates, timelines and examples, is general information. It is not an offer that you can accept, and it is not a term of any contract.
6.2 The Service, its price and its terms are those shown in the App when you accept a Product Agreement, and those in the Product Agreement you accept. Where the Website says something different, the App and the Product Agreement prevail.
6.3 We correct errors on the Website when we find them. If you find one, please tell us at support@locally360.app.
6.4 Prices on the Website exclude sales tax. Tax may be added at checkout, as clause 10.4 of the Subscription Agreement describes.
6.5 Fees of other companies shown on the Website, such as Stripe’s card processing rate, are set by those companies and may change.
6.6 No results are promised. Eveneer does not guarantee any ranking, position, impression, click, visitor, inquiry, lead, customer or revenue. Search engines and AI systems are run by other companies and change without notice. No statement on the Website about likely results is a warranty.
7. Help guides
7.1 The Website may include help guides, published under https://locally360.studio/help/ (the Guides). They explain how to use the Service.
7.2 The Guides are general how-to information. They are not legal, tax, accessibility or other professional advice. A Guide about, for example, a cookie banner or a privacy page does not tell you what the law requires of your business.
7.3 A Guide describes the App as it was when the Guide was written, and may be out of date. Where a Guide differs from a Product Agreement, the Product Agreement prevails.
7.4 You decide whether to follow a Guide and whether it suits your business.
7.5 A Client that needs help with the Service can also email support@locally360.app under Schedule D of the Subscription Agreement.
8. Design screenshots and live demos
8.1 The Website may show screenshots of Themes (Screenshots) and link to live demos of Themes in the App.
8.2 A Screenshot shows how a Theme can look. The businesses, people, reviews and figures in it are examples. They are not statements about a real business, and not results that a website will achieve.
8.3 A Screenshot shows a Theme as it was when the Screenshot was taken. Themes are maintained and can change, and a Theme can be retired. A Screenshot is not a promise that a Theme, a feature or a layout is available, or will stay available.
8.4 The live demos are part of the App, not the Website. These Terms do not cover them.
8.5 Clause 18.4 of the Subscription Agreement describes how Themes are designed and tested for accessibility, and says that this is not a claim of conformance. The Website makes no other accessibility claim about Themes.
9. Contacting us
9.1 You can contact us about anything by email to support@locally360.app. We offer no telephone or chat line.
9.2 The Website also has a form, “Ask an agent to get in touch” (the Callback Form), to ask a Sales Agent to contact you about Locally 360 and help you sign up. It asks for your name, your business name, your trade, your telephone number and your email address, and lets you add a note.
9.3 When you send the Callback Form, a Sales Agent may call you, or email you, at the telephone number and email address you give, to talk about Locally 360 and help you sign up. If you ask us to stop contacting you, by telling the Sales Agent or by email to support@locally360.app, we will.
9.4 Only send the Callback Form with your own details, or details you are allowed to give, and only for a real business.
9.5 An email or a Callback Form request is not an order and does not create a contract. Neither our reply nor a call or email from a Sales Agent creates one. You become a Client only as clause 2.2 says.
9.6 We aim to reply to an email within three Business Days. For someone who is not a Client, this is an aim and not a contractual promise. A Client’s support terms are in Schedule D of the Subscription Agreement.
9.7 Do not send us passwords, full card numbers, or information about your health, religion, politics or any other sensitive subject, by email or in the Callback Form. If you do, we may delete it.
9.8 Our privacy notice, in clause 14.1, applies to the emails and Callback Form requests you send us.
10. Our content, brand and the work we show
10.1 Eveneer or its licensors own the Content and the intellectual property in it.
10.2 You may view the Website, print or save pages for your own use, share links to its pages, and quote short extracts if you name Locally 360 as the source and link to the page.
10.3 You must not:
(a) copy the Website’s text, design, layout or code to build another website or product;
(b) present any Content as your own;
(c) remove or change any notice of ownership on the Content; or
(d) use the Locally 360 name or logo in a way that suggests Eveneer endorses you, works with you or is connected with you, when it does not. You may use the name to refer accurately to Locally 360 and the Service.
10.4 Where the Website shows a Client’s site, business name or logo, that material belongs to the Client and is shown under clause 14.9 of the Subscription Agreement. You may not reuse it.
10.5 Stock images on the Website belong to their licensors and are used under licence. You may not reuse them.
11. How you may use the Website
11.1 You must not:
(a) gain, or try to gain, unauthorised access to the Website, the App or any system behind them;
(b) probe, scan or test the security of the Website or the App without our written permission;
(c) place a load on the Website beyond normal browsing, including by a denial of service attack or by automated requests at a high rate;
(d) send malware or other harmful code to or through the Website;
(e) get around, or try to get around, a security check on the Website;
(f) frame or mirror the Website, or present a copy of it as your own;
(g) use the Callback Form or our email address to send spam, harassment or unlawful content, or false details or someone else’s details without their permission; or
(h) use the Website for anything unlawful, or pretend to be Eveneer.
11.2 Search engines, AI tools and other automated tools may crawl, index, cache and summarise the Website, as long as they follow the rules in https://locally360.studio/robots.txt and do not breach clause 11.1(c). Our llms.txt file is published for them.
11.3 The Website’s security features may slow down, check or block automated traffic, including traffic that clause 11.2 allows. Clause 11.2 is a permission, not a promise of access.
11.4 If you breach clause 11.1, we may block your access to the Website. Clause 19 also applies.
11.5 If you find a security problem in the Website or the App, please tell us at support@locally360.app and do not test it further.
12. Links to other websites
12.1 The Website links to the App, for example to sign up, to sign in, to see the live demos and to read our privacy, sub-processor and copyright pages. It may also link to websites of other companies, such as Stripe or Cloudflare.
12.2 A website of another company has its own terms and notices. Eveneer does not run it and is not responsible for it or its content.
12.3 You may link to any page of the Website, as long as the link does not mislead anyone about who you are or about any connection with Eveneer.
13. Copyright complaints
13.1 If you believe that something on the Website infringes your copyright, send a notice to Eveneer’s designated agent. Our copyright page at https://locally360.app/legal/copyright gives the agent’s details, or, until the agent is registered, where to send notices instead. It also lists what a notice must contain.
13.2 The copyright page sets out the procedure for material on Clients’ sites. Most Content is Eveneer’s own. For the Website, we review each notice and remove or change material that we find infringes.
13.3 A person who knowingly makes a materially false claim in a copyright notice can be liable under United States copyright law for the harm it causes, as the copyright page explains.
14. Privacy and cookies
14.1 Our privacy notice at https://locally360.app/legal/privacy explains how we handle personal data. Section 12.4 of it covers the Website. The privacy notice describes what we do and is not part of these Terms.
14.2 The Website’s own code sets no cookies and stores nothing in your browser. The Website uses no analytics, advertising or tracking tools.
14.3 The Website runs on Cloudflare’s network. When one of Cloudflare’s security features is switched on for the Website, Cloudflare may set its own security cookies. Our cookies page at https://locally360.studio/legal/cookies lists each one that can appear and what it does.
15. Accessibility of the Website
15.1 If something on the Website is hard to use with a disability or with assistive technology, email support@locally360.app with the address of the page and what went wrong.
15.2 We will reply within the time in clause 9.6, and will offer to send you the information you were looking for by email.
15.3 We do not claim that the Website meets any accessibility standard. This clause does not change clauses 18.4 to 18.7 of the Subscription Agreement.
16. Changes to the Website and availability
16.1 We may change, pause, remove or stop the Website, or any part of it, at any time and without notice.
16.2 We do not promise that the Website, or any page of it, will be available at any time.
16.3 The Website is written for businesses in the United States. Content may not suit a business elsewhere.
17. No warranties
17.1 The Website and the Content are provided “as is” and “as available”. To the extent the law allows, Eveneer gives no warranty about them, and disclaims all implied warranties, including implied warranties of merchantability, fitness for a particular purpose, title and non-infringement.
17.2 Eveneer does not warrant that the Content is accurate, complete or current, or that the Website will be uninterrupted, secure, free of errors or free of harmful code.
17.3 Some laws do not allow some warranties to be excluded. Where such a law applies to you, clause 17.1 does not exclude those warranties.
18. Limitation of liability
18.1 Eveneer is not liable to you for indirect, incidental, special, consequential or punitive loss, or for loss of profit, revenue, business, goodwill, leads, inquiries, search rankings or data, arising from or in connection with the Website or these Terms, however caused, even if Eveneer was told the loss was possible.
18.2 Eveneer’s total liability to you arising from or in connection with the Website or these Terms, for all claims taken together, is limited to 100 US dollars.
18.3 Clauses 18.1 and 18.2 do not limit Eveneer’s liability for fraud, fraudulent misrepresentation, gross negligence, willful misconduct, death or personal injury caused by negligence, or anything else that cannot be limited or excluded by law.
18.4 Where a law that applies to you does not allow a limit in this clause 18, that limit applies only to the extent the law allows.
18.5 A claim under a Product Agreement is subject to the limits in that Product Agreement, and not to clause 18.2. The limits do not add together.
19. Your responsibility for misuse
19.1 If you breach clause 11.1, or use the Website unlawfully, you are responsible for the loss and damage Eveneer suffers as a result, including any amount Eveneer must pay to someone else because of it.
19.2 Clause 19.1 applies only to the extent the loss or damage is caused by you. It does not apply to use of the Website in line with these Terms, or to the extent the law that applies does not allow it.
20. Governing law and disputes
20.1 These Terms, and any dispute about the Website or these Terms, are governed by the laws of the State of Wyoming, without regard to its conflict of laws rules. If a law of the place where you live protects you and cannot be waived by contract, the choice of Wyoming law does not remove that protection.
20.2 Before starting court proceedings, a party with a dispute must describe it in writing to the other party: you by email to support@locally360.app, and Eveneer by email or post to the contact details it has for you. If the dispute is not resolved within 30 days, either party may start proceedings under clause 20.3 or 20.4. This clause does not apply to a claim under clause 20.5.
20.3 Courts. A dispute is decided by the state or federal courts located in Wyoming, and each party submits to those courts. If the law of the place where you live does not allow that choice of court for you, the dispute may be heard in the courts of that place. There is no arbitration under these Terms.
20.4 Small claims. Either party may instead bring an individual claim in a small claims court that has jurisdiction.
20.5 Either party may apply to any court with jurisdiction for an injunction or other urgent relief, to protect its intellectual property or systems or to stop a breach of clause 11.1.
20.6 A dispute between Eveneer and a Client that a Product Agreement covers is resolved under that Product Agreement, as clause 2.3 says.
21. Time limit for claims
21.1 Any claim about the Website or these Terms must be brought within one year after the claim arose. A claim brought later is barred. If the law that applies to the claim does not allow the time for bringing it to be shortened to one year, the time is the shortest period that law allows the parties to agree, and if that law allows no shortening, the period that law sets.
22. Changes to these Terms
22.1 We may change these Terms by publishing a new version on the Website. Each version has its own version number and date, shown at the top.
22.2 A new version applies to use of the Website from the date shown on it.
22.3 A new version does not apply to a dispute that was described under clause 20.2 before that date. That dispute stays under the version in force when it was described.
22.4 We keep a copy of every earlier version. Email support@locally360.app for a copy.
23. General
23.1 Severability. If a provision of these Terms is held invalid or unenforceable, it is changed to the minimum extent needed to make it enforceable, or removed if that is not possible, and the rest of these Terms continues.
23.2 Waiver. A failure to enforce a right is not a waiver of it.
23.3 Assignment. Eveneer may transfer these Terms to a buyer of its business or assets, or in a reorganisation, without your consent. You may not transfer your rights under these Terms.
23.4 No third party rights. Nobody other than you and Eveneer has any right under these Terms.
23.5 Whole terms. These Terms are the whole of the terms for using the Website. They do not replace a Product Agreement.
23.6 Headings are for convenience and do not affect interpretation. “Including” means “including without limitation”.
